I. NAME AND PURPOSE
A. NAME: The central committee of the Democratic Party of Lyon County shall be known as the Lyon County Democratic Central Committee. The Lyon County Democratic Central Committee (LCDCC) shall be the official body of the Democratic Party within Lyon County, Nevada and shall be subject to the provisions of Chapter 293 and any other applicable Chapters of the Nevada Revised Statutes (NRS).
B. PURPOSE: The purpose of the LCDCC shall be:
To promote the philosophy of the Democratic Party and of the platforms adopted by the county, state, and national conventions.
Seek and encourage Democratic candidates at the local level.
Support elected Democratic officials.
Provide the opportunity for all registered Democrats in Lyon County to be involved in the political affairs of the Democratic Party.
The LCDCC shall be primarily responsible for holding County Democratic Precinct Meetings and a County Convention in even numbered years. The Committee shall seek to include all registered Democrats within the County in such meetings.
The Central Committee shall be responsible for ensuring that Precinct Meetings and the County Convention are conducted according to the provisions of Chapter 293 of the Nevada Revised Statutes.
C. MEETINGS: Meetings of the LCDCC shall be held monthly.
1. Notice of the meetings shall be given to all members by advance written, oral, electronic or published notice.
2 Meetings are open to all registered Democrats. Voting at meetings and conventions may only be done by registered Democrats residing in Lyon County.
A.1. Meetings may be changed at the discretion of the Chair or the request of the Executive Board, provided that notice is given two weeks prior to the regularly scheduled meeting.
A.2. The Chair, with the consent and approval of the Executive Board, may give notice of any special or emergency meeting in the same manner.
A.3. A Quorum for any regular or specially called meeting shall be three (3) Executive Board Members and five (5) Central Committee members.
II. MEMBERSHIP
A. The Central Committee shall consist of representatives from each precinct. Each precinct is entitled to at least one committeeperson and no more than delegates allotted to the County Convention.
B. Committeepersons shall be elected to a term of two years at the County Convention.
C. Qualifications for membership:
All members of the Central Committee, or any sub-committee thereof, shall be registered Democrats in Lyon County and actively residing in Lyon County
Each member of the Central Committee who is elected to represent a particular precinct in the County must remain a resident of that precinct for the duration of his/her term.
Any member who fails to attend, in person, at least two (2) regular meetings during a two-year term shall be considered to have vacated his or her membership.
Any member who changes their party affiliation shall be considered to have vacated his or her membership.
D. As defined by the Nevada State Democratic Party, members may be removed for cause that shall include but is not limited to:
Active support of opposition party candidates in a partisan election where a Democratic candidate is running
Misconduct (note: malfeasance is only for elected officials)
Failure to declare affirmatively his or her support for the Democratic Presidential or Vice Presidential nominees.
Harassment or bullying.
E. Vacancies may be filled by a vote of the Central Committee at any regularly scheduled meeting of the Lyon County Democratic Central Committee with the newly elected committeeperson’s term to conclude at the next County Convention.
F. Vacating a Central Committeeperson Position:
Any Central Committeeperson not attending two (2) consecutive LCDCC meetings shall be considered to have vacated his/her position, unless legitimate prior notification of non-attendance has been made to the Chair or the Chair’s designee as indicated in the meeting notification. This shall also apply to Section II. C. 3.
Central Committeepersons so terminated may be re-elected by the LCDCC.
III. OFFICERS AND EXECUTIVE BOARD
A. OFFICERS: The Officers of the Central Committee shall be: Chair, First Vice-Chair, Second Vice-Chair, Secretary and Treasurer
1. They shall be elected from and by the Central Committee members who are present, and voting, at a Central Committee Meeting held in February of odd-numbered years.
2. Candidates must be registered Democrats in Lyon County at time of election. The election shall be held at the regularly scheduled meeting place of the Central Committee.
Transfer of all LCDCC property, including physical material and electronic passwords will occur following the regular February meeting of the Central Committee.
3. Term: The term of each position on the Executive Board shall be two years.
B. OFFICERS MAY BE REMOVED for cause which shall include but not be limited to:
Failure to carry out defined duties of the office
Active support of opposition party candidates in a partisan election, where a Democrat is a candidate; Gross negligence or malfeasance; Failure to declare affirmatively his or her support for the Democratic Presidential or Vice Presidential nominees.
Harassment or bullying, as defined by Nevada State Democratic Party.
C. VACANCIES: Vacancies in any of the Officer positions may be filled by a vote of the Central Committee at any regularly scheduled Central Committee meeting, with the newly elected Officer’s term to conclude at the installation of officers after the next regular election.
D. DUTIES: The Executive Board shall conduct the business of the Central Committee between Central Committee Meetings.
CHAIR
a. The Chair shall preside at all regular meetings of the Executive Board and the Central Committee.
b. The Chair shall exercise and discharge those duties conferred by these By-Laws and by those defined in the Nevada Revised Statutes.
c. The Chair shall create standing committees, special committees, and their chairs. The Chair shall be an ex-officio member of all standing committees, except the nominating committee.
d. The Chair shall appoint a person to maintain the official voter registration database.
e. The Chair shall be an authorized signature on all bank accounts held in the name of LCDCC.
FIRST VICE-CHAIR
a. The First Vice-Chair shall preside at all meetings in the absence of the Chair and such other duties delegated by the Chair.
b. When a vacancy occurs in the office of Chair, the First Vice Chair shall be acting Chair until the next regular meeting of the Central Committee when a new Chair may be elected.
c. The First Vice Chair shall be an authorized signature on all bank accounts held under the name of LCDCC.
d. The First Vice Chair shall be responsible for overseeing volunteers and will be a member of the fundraising committee.
SECOND VICE-CHAIR
a. The Second Vice Chair shall preside at all regular meetings in the absence of the Chair and the First Vice Chair.
b. The Second Vice Chair will carry out those duties designated by the Chair.
c. The Second Vice Chair shall be an authorized signature on all bank accounts held under the name of LCDCC.
d. The Second Vice Chair shall be responsible for overseeing the communications including the receiving and sending of correspondence required by the LCDCC, Social Media, emails, and the Website.
SECRETARY
a. The Secretary shall be responsible for keeping records, including membership records, and preparing minutes of the Executive Board and Central Committee meetings.
b. The Secretary shall be responsible for maintaining the membership list on Gmail The Secretary shall have access to the NSDP Voter Activation Network database.
c. The Secretary shall be responsible for such duties as may be designated by the Chair.
d. The Secretary shall provide a current roster of all registered Democrats in Lyon County for use at Precinct Caucuses, County Convention and election of officers.
TREASURER
a. The Treasurer shall be the Chair of the Finance Committee
b. The Treasurer shall be the custodian of the funds belonging to the LCDCC and shall maintain all records of said funds.
c. The Treasurer shall disburse funds and pay all bills presented at the direction of the Executive Board or by action of the Central Committee.
d. All disbursements from any bank accounts held in the name of LCDCC shall require two (2) authorized signatures. The Executive Board may designate specific, regular disbursements to require a single authorized signature.
e. The Treasurer shall present a financial statement at each regular meeting of the Central Committee.
f. The Treasurer shall be a required signature on all bank accounts held under the name of LCDCC.
g. The books of the LCDCC shall be audited/reviewed by an independent auditor at the end of each biannual budget year or prior to the installation of a new treasurer, whichever comes first and at the expense of the LCDCC. The full results of the audit/review shall be reported to and considered by the Executive Board as soon as possible, but in any event no later than March 1 of the subsequent year.
PARLIAMENTARIAN
a. The Chair may appoint a Parliamentarian as may be necessary for the efficient and fair administration of LCDCC meetings. Such Parliamentarian will be a non-voting position.
Each area club may appoint a liaison to the Executive Board. Such Liaison shall be an ex-officio member of the Executive Board will voice but not vote.
The Executive Board shall be responsible to the Central Committee of the whole for the planning and implementation of programs and for the formulation and execution policy for the Democratic Party of Lyon County.
E: MEETINGS:
1. Meetings of the Executive Board may be held at the call of the Chair or by request of any two voting members of the Executive Board.
2. A quorum of three (3) Officers must be present to conduct business. Quorum defined as a majority of current Executive Board members.
IV. STANDING COMMITTEES
The following shall be the standing Committees:
One Area Coordinating Committee (also known as a “Club”) in each community within the County as determined by the Executive Board. The duties and responsibilities each of which shall be:
a. Precinct Organizing and GOTV
b. To implement programs under the auspices of the LCDCC
The By-Laws Committee, the duties of which are to review these by-laws at least annually, or as needed, and make recommendations to the Executive Board for amendments. The By-Laws Committee Chair may call meetings of the Committee as needed

The Finance Committee, the duties of which shall be:
a. Establish an annual budget
b. Future use
The Fundraising Committee which shall propose methods of raising funds for the LCDCC and with the approval of the Executive Board, implement and coordinate fundraising plans. The 1st Vice Chair shall be a member of the fundraising Committee.
V. AD-HOC COMMITTEES
The Chair shall may appoint Ad-Hoc committees as needed, such as nominating committees, caucus committees, etc.
VI. AMENDMENTS
A. The Executive Board, by a majority vote of the members present shall determine proposed bylaw amendments to be presented to the Central Committee at a regular Central Committee meeting (First Reading). A second reading and voting on the proposed changes will take place at the next regular meeting of the Central Committee provided that written notice is given with the regular meeting notice for such second meeting.
B. Any member in good standing who wishes to submit a proposed change to these by-laws shall do so by first submitting it to the By-Laws Committee. The Committee will review the proposal and formulate a recommendation to the Executive Board.
VII. PARLIAMENTARY PROCEDURE
The rules contained in Robert’s Rules of Order, Revised, shall govern the Lyon County Democratic Central Committee, and all committees therein, in all cases in which they are applicable, and in which they are not inconsistent with these By-Laws or the Nevada Revised Statutes.
